Terms & Conditions

AgentRinger · Version 1.1 · Effective August 25, 2026 · Privacy Policy

These Terms govern your use of AgentRinger ("the Service"), a software platform providing dialing, call management, and lead-workflow tools. By creating an account or using the Service, you agree to these Terms.

1. The Service

AgentRinger provides software tools that let you place calls using your own caller ID, manage leads you supply, and record your own activity. AgentRinger does not sell, supply, or broker leads, does not place calls on your behalf, and does not direct the content of your calls. You are the seller and the telemarketer for every call you place.

2. Your compliance responsibility

2.1 You are solely responsible for complying with all applicable telemarketing laws, including the Telephone Consumer Protection Act (47 U.S.C. §227), the Telemarketing Sales Rule (16 C.F.R. Part 310), the Telemarketing and Consumer Fraud and Abuse Prevention Act, and all state telemarketing, do-not-call, recording-consent, and mini-TCPA statutes.

2.2 The Service displays Do-Not-Call flags and enforces certain protections by default (immediate honoring of opt-outs, calling-hour limits, and blocks on flagged numbers in heightened-penalty states). These tools are aids, not legal compliance. The presence or absence of any flag or block does not make any call legal or illegal; that determination is yours.

2.3 If you disable a default protection, you will be required to sign an Assumption of Responsibility electronically, and that signature is recorded. Opt-out enforcement and calling-hour limits cannot be disabled.

2.4 Indemnification. You agree to indemnify, defend, and hold harmless AgentRinger, its operators, and affiliates from and against any claim, demand, fine, penalty, damages, or cost (including reasonable attorney fees) arising from calls, texts, or other communications you place or attempt through the Service, or from your violation of these Terms or of any applicable law.

3. Lead data you import

3.1 You represent that you have the right to possess and use every list you import, and that your use complies with your agreements with your lead providers.

3.2 Lead-source and consent information recorded at import (source, timestamps, hashes, provider flag representations) is retained as evidence and may be produced to demonstrate the provenance of your calling activity.

4. Recordings, transcripts, and evidence records

4.1 The Service records both sides of calls (dual-channel) placed to destinations in one-party-consent jurisdictions. Recording is automatically disabled for destinations whose number maps to a state requiring all-party consent (currently CA, CT, DE, FL, IL, MD, MA, MT, NH, OR, PA, and WA; the list may change as law evolves), and the agent is notified in the dialer whenever a call will not be recorded. Transcripts are produced by automated speech recognition, are labeled as AI-generated drafts, and the audio recording is the authoritative record in any dispute. Recordings and transcripts are retained for up to 7 years; call metadata and SHA-256 integrity hashes (computed at capture) are retained indefinitely. Details are in the Privacy Policy.

4.2 Compliance records are append-only by design: they cannot be edited or deleted through the Service. You acknowledge this and agree it is a condition of using the Service.

5. Accounts, credits, and payment

5.1 Usage is billed via per-minute credits purchased through the Service. Credits are non-refundable except as required by law.

5.2 Refunds. Support compensation is issued as platform credit to your balance only. Refunds to the original payment method may be requested through support and are granted at our sole discretion; they are not guaranteed.

5.3 Annual Plans. Annual subscriptions are prepaid for a 12-month term and are non-refundable. Cancellation takes effect at the end of the current term; access continues until the term expires. No automatic prorated refunds. At our sole discretion, we may issue platform credit for unused time. Monthly and quarterly plans may be cancelled at any time with access continuing through the paid period.

We may suspend accounts for abuse, fraud, non-payment, or unlawful use, including repeated attempts to circumvent compliance protections.

6. Data

6.1 License to de-identified data. You grant AgentRinger a perpetual, royalty-free license to use de-identified, aggregated usage data (call volumes, durations, outcomes in aggregate) to operate, improve, and market the Service. This license never includes call recordings, transcripts, lead lists, or any data identifying you or your contacts.

6.2 Your lead lists, recordings, and transcripts are yours. We do not sell them, share them, or use them to train models for other customers.

7. Disclaimers and liability

7.1 THE SERVICE IS PROVIDED "AS IS." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. NO COMPLIANCE FEATURE CONSTITUTES LEGAL ADVICE.

7.2 TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENTRINGER’S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THE SERVICE SHALL NOT EXCEED THE AMOUNTS YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING DAMAGES ARISING FROM REGULATORY ACTIONS OR THIRD-PARTY LAWSUITS RELATED TO YOUR CALLS.

8. Disputes

These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts of New Jersey, and the parties consent to their jurisdiction.

9. Changes

We may update these Terms; material changes will be announced in-app or by email. The version in force at any time, with its cryptographic hash, is recorded in our compliance records. Continued use after a change constitutes acceptance.
